Terms of Service

These terms explain the rules for using Tenpo, what you authorize Tenpo to do inside your connected systems, how billing works, and who carries which risk.
1. Acceptance of Terms
By accessing or using Tenpo (the "Service"), you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any part of these terms, you may not use the Service.
The Service is offered for business use. If you accept these Terms on behalf of a company or other organization, you represent that you have authority to bind it, and "you" refers to that organization.
2. Description of Service
Tenpo is an AI operator for online stores. It connects to platforms you authorize — such as Shopify, WooCommerce, marketplaces, advertising accounts, email tools, and accounting systems — and uses the data it finds there to analyze your business, recommend actions, and, where you enable it, carry those actions out. Features include inventory and replenishment, order and refund handling, customer insight, supplier coordination, campaign work, and financial reporting. We may modify, suspend, or discontinue any aspect of the Service with reasonable notice.
The Service is currently offered in beta. It is under active development and is provided without any uptime, availability, or support commitment. Features may change, break, or be removed; results may be incomplete or incorrect; and we may need to migrate, rebuild, or re-sync stored data as the Service evolves. Tenpo is not your system of record — keep your own books and records in your commerce and accounting platforms, and do not rely on the Service as the only source of a number you act on. We will give notice before the beta period ends.
3. Eligibility & Accounts
You must create an account to use the Service and must be at least 18 years old. You are responsible for the accuracy of your account information, for keeping your credentials confidential, and for all activity that occurs under your account, including activity by team members you invite. Notify us immediately at contact@tenpo.ai if you suspect unauthorized access. We may suspend or terminate accounts that violate these Terms.
4. Automated Actions & Your Authorization
Tenpo is not only advisory. When you connect a platform and enable the corresponding capability, the Service can take actions in your systems on your behalf, including:
- creating, editing, or cancelling orders, and issuing refunds;
- creating, changing, or ending discounts and promotions;
- updating products, pricing, and inventory levels across channels;
- creating purchase orders and sending them to your suppliers;
- adjusting, pausing, or resuming advertising campaigns and budgets;
- replying to customer support tickets; and
- sending messages and marketing campaigns to your customers.
You authorize these actions, and they are treated as taken by you. You control their scope through the autonomy and approval settings in your account, which let you require your explicit approval before an action runs. It is your responsibility to configure those settings appropriately, to review actions awaiting approval, and to monitor actions that have been taken. We strongly recommend keeping approval required for any action that is irreversible or that moves money.
Automated systems make mistakes. The Service may misread data, act on stale or incomplete information returned by a connected platform, or take an action you did not intend. It is not a substitute for your own financial controls, reconciliation, or judgment. Do not enable unattended automation for any action whose consequences you could not absorb if it were wrong.
The financial consequences of actions taken through the Service — refunds issued, discounts honored, advertising spend incurred, purchase orders placed — are yours, whether you approved the action individually or it ran under settings you enabled.
5. Messaging Your Customers
When the Service sends email, messages, or campaigns to your customers, it sends from the accounts you connected and under your brand. You are the sender of record.
You represent that you have a lawful basis and, where required, valid consent to contact each recipient; that your suppression and unsubscribe lists are accurate and current; and that your messaging complies with all applicable law — including CAN-SPAM, CASL, the GDPR, and ePrivacy rules — and with the policies of every platform through which it is sent. You are responsible for reviewing message content where your settings require approval, and for the content of messages sent under settings you enabled.
6. Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not use it to violate any applicable law or regulation, to send unsolicited or deceptive communications, to infringe anyone's rights, to circumvent the usage limits or approval controls of the Service, or to attempt unauthorized access to the Service or its underlying systems. You must not use the Service to process data you have no right to share with us. We reserve the right to investigate suspected violations and to suspend or terminate access, without notice where the conduct is harmful or unlawful.
7. Plans, Billing & Renewal
Access to paid features requires an active subscription. The fee, billing period, and any usage allowances are those presented to you at the time of purchase.
Subscriptions renew automatically at the then-current price at the end of each billing period until cancelled. You may cancel at any time in your account settings or by emailing contact@tenpo.ai; cancellation takes effect at the end of the current billing period, and you keep access until then. Except where required by law, fees already paid are non-refundable and partial periods are not prorated.
We may change prices on at least 30 days' notice by email. A change takes effect at your next renewal, and you may cancel before then if you do not accept it. Fees are exclusive of taxes, which we will add where required. If a payment fails, we may retry it and, after notice, suspend or terminate access until the balance is settled.
Some plans include allowances for AI-generated work. If you exceed an allowance we may limit further usage or bill for it as disclosed at purchase. Unused allowances do not carry over between billing periods.
During the beta period some features may be offered free or at a reduced price. We will give at least 30 days' notice by email before we begin charging for a feature that was previously free.
8. Connected Platforms
The Service depends on third-party platforms that you choose to connect. Your use of each platform remains governed by your agreement with that provider, and you are responsible for complying with it. Platforms may change, restrict, deprecate, or revoke the access the Service relies on, and may experience outages or return incorrect data. We are not responsible for the acts, omissions, availability, pricing, or data quality of any connected platform, and a loss of platform access is not a breach of these Terms by us. You may disconnect any integration at any time.
9. Intellectual Property
The Service and its original content, features, and functionality remain the exclusive property of Tenpo and its licensors. Our trademarks and trade dress may not be used without our prior written consent. You retain ownership of the data you connect or upload, and you grant Tenpo a limited, non-exclusive license to host, process, and transmit that data solely to provide, secure, and support the Service for you. If you send us feedback or suggestions, we may use them without obligation to you.
10. Data & Privacy
Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. For the store data we receive from your connected platforms, including your customers' personal data, Tenpo acts as a processor on your behalf and you act as the controller. If you require a data processing agreement, contact contact@tenpo.ai and we will put one in place. You are responsible for ensuring you have the right to connect the data you connect and that you have given your customers any notice they are owed.
11. Your Representations & Indemnity
You represent and warrant that you have the right to connect each platform and to share with us the data the Service receives through it; that you have provided any notices and obtained any consents your customers are entitled to; and that your use of the Service complies with applicable law and with the terms of every platform you connect.
You agree to indemnify, defend, and hold harmless Tenpo and its officers, employees, and agents from any claim, demand, loss, liability, or expense — including reasonable legal fees — arising out of your data, your use of the Service, messages sent to your customers through the Service, actions taken through the Service under settings you enabled, or your breach of these Terms or of any connected platform's terms.
12. Disclaimer of Warranties
The Service is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted or error-free, that defects will be corrected, or that any connected platform will remain available or continue to permit the access the Service depends on.
Analyses, recommendations, forecasts, drafts, and actions produced by the Service are generated by automated systems and may be inaccurate, incomplete, or unsuitable for your circumstances. They are not accounting, tax, legal, or investment advice. You remain responsible for reviewing them and for the decisions you make.
13. Limitation of Liability
To the maximum extent permitted by applicable law, Tenpo shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or goodwill, arising out of or in connection with your use of the Service — whether or not we were advised that such damages were possible. To the maximum extent permitted by law, our total aggregate liability for all claims shall not exceed the greater of the amounts you paid to Tenpo in the twelve months preceding the event giving rise to the claim, or one hundred US dollars. Some jurisdictions do not allow certain exclusions or limitations, so parts of this section may not apply to you.
14. Termination
We may suspend or terminate your account and access to the Service, without prior notice, for conduct we determine violates these Terms or is harmful to other users, to us, or to third parties. You may terminate at any time in your account settings or by contacting contact@tenpo.ai. On termination your right to use the Service ceases immediately, scheduled automations stop, and your data is deleted in accordance with our Privacy Policy. Sections that by their nature should survive — including intellectual property, indemnity, disclaimers, limitation of liability, and governing law — survive termination.
15. Governing Law & Disputes
These Terms are governed by the laws of India, without regard to conflict-of-laws rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
Before bringing a claim, you agree to try to resolve the dispute informally by contacting contact@tenpo.ai and allowing 30 days to reach a resolution.
If that fails, the dispute shall be referred to and finally resolved by arbitration under the Arbitration and Conciliation Act, 1996, before a sole arbitrator appointed by mutual agreement. The seat and venue of arbitration is Bengaluru, Karnataka, and the language is English. The courts at Bengaluru, Karnataka have exclusive jurisdiction over any application for interim relief and over any matter not subject to arbitration.
To the extent permitted by law, claims may be brought only in an individual capacity, and not as a representative of, or on behalf of, a class or group.
16. Changes to These Terms
We may update these Terms from time to time. For material changes we will give at least 30 days' notice by email to your account address, or by notice within the Service, before they take effect. Changes are not retroactive. If you do not accept a change, you may cancel your subscription before it takes effect; continuing to use the Service after that date means you accept the revised Terms.
